Company ITR Filing

ITR-6

Every company registered in India must file an income tax return for each financial year, even with no business, nil income or a loss. We prepare the return from the audited financial statements, compare the tax regimes, check TDS and advance tax against Form 26AS and AIS, and file it with a director's digital signature after you approve the figures.

What this service covers

What is checked before filing

  • Tax regime compared

A domestic company can pay tax at 22% under section 115BAA (25.168% with surcharge and cess, and no MAT) if it gives up certain deductions, or at the normal rates with them. We compare both before the choice is made; once a company opts for section 115BAA, it cannot go back.

  • Minimum alternate tax

For FY 2025-26, a company under the normal rates pays minimum alternate tax at 15% of book profit (section 115JB) when its regular tax is lower. From tax year 2026-27 MAT is 14% and a final tax, so new MAT credit no longer builds up; we check what your existing MAT credit is worth before a regime is chosen.

  • Payments to small suppliers

Amounts owed to micro and small enterprises and not paid within the time the MSMED Act allows (the agreed period, up to 45 days, or 15 days when there is no written agreement) are allowed as an expense only in the year they are paid (section 43B(h)). We check this before filing.

  • Losses kept for later years

A business loss can be carried forward and set off against later profits only when the return is filed by the due date.

Questions

Frequently asked

Something else on your mind? Call the office - it is always the same number.

Does a company with no business need to file a return?

Yes. Every company must file an income tax return for each financial year, whether it had income, a loss or no business at all. A company that does not file gets notices, a late fee and interest, and can face penalty and prosecution.

What is the due date for a company's return?

Normally 31 October after the financial year ends, because a company's accounts are audited, and 30 November when the company must file a transfer pricing report in Form 3CEB. For FY 2025-26 the 31 October date was extended to 21 November 2026 (CBDT Circular 7/2026), and the tax audit report to 21 October 2026. We check for any later notice before filing.

Should our company choose the 22% rate under section 115BAA?

It often suits small companies that claim no special deductions or incentives. The company pays 22% plus 10% surcharge and 4% cess (25.168% in all) and no MAT, but gives up certain deductions. The choice is made in Form 10-IC by the due date of the return and cannot be withdrawn later.

What are the normal tax rates for a company?

For FY 2025-26, 25% if total turnover or gross receipts in FY 2023-24 did not exceed ₹400 crore, otherwise 30%. Surcharge is 7% when income is above ₹1 crore and 12% above ₹10 crore, and health and education cess is 4%.

How is a company's return verified?

Only with a digital signature (DSC), usually of the managing director, or of a director when there is no managing director or the managing director cannot sign. A company cannot verify its return with an Aadhaar OTP.

What if the due date is missed?

A belated return can still be filed until 31 December 2026 for FY 2025-26. The late fee under section 234F is ₹5,000 (₹1,000 if total income is up to ₹5 lakh), interest runs on any unpaid tax, and a business loss in a belated return cannot be carried forward. A return already filed can be revised until 31 March 2027, and an updated return (ITR-U) can be filed within 48 months from the end of the assessment year, with additional tax.

Is the ROC annual filing the same as the income tax return?

No. Form AOC-4 and Form MGT-7 or MGT-7A are filed with the Registrar of Companies (MCA); the income tax return is filed separately with the Income Tax Department. The financial statements in both must be the same.

What changes from April 2026?

The Income-tax Act, 2025 applies from tax year 2026-27 (1 April 2026 to 31 March 2027). Returns for FY 2025-26 are still filed under the Income-tax Act, 1961, so this page uses its section numbers. Returns for tax year 2026-27 will be filed in 2027 under section 263 of the new Act, in new forms to be notified under the Income-tax Rules, 2026. For companies, the Finance Act, 2026 makes MAT 14% and a final tax from tax year 2026-27; MAT credit built up to 31 March 2026 can be set off only by a company that moves to the concessional regime, up to a quarter of its tax.
