Partnership Firm & LLP ITR Filing
ITR-5
Every partnership firm and LLP must file an income tax return for each financial year, even in a year with a loss or no business. We prepare the return from your books, work out partners' interest and remuneration under the deed and section 40(b), check TDS and advance tax against Form 26AS and AIS, and file it after you approve the figures.

For FY 2025-26, a firm or LLP whose accounts need no audit had to file by 31 August 2026. One whose accounts must be audited (a tax audit, or an LLP's audit under the LLP Act) can file until 21 November 2026 (extended from 31 October by CBDT Circular 7/2026). A late return costs a late fee and interest, and a business loss in a late return cannot be carried forward.

What this service covers
What is checked before filing
Partners' interest and remuneration
Interest to partners is allowed up to 12% simple interest a year, and remuneration to working partners within the section 40(b) limits, only when the partnership deed or LLP agreement provides for it. We read the deed and work out the amounts that are allowed.
Tax and alternate minimum tax
A firm or LLP pays 30% tax, plus a 12% surcharge when income is above ₹1 crore and 4% cess. When it claims certain deductions (such as under section 80-IA, 10AA or 35AD), alternate minimum tax at 18.5% of adjusted total income (section 115JC) applies if that is higher; we work out both.
TDS on payments to partners
Since 1 April 2025 a firm or LLP deducts TDS at 10% under section 194T on salary, remuneration, commission, bonus or interest to a partner when the total for the year is above ₹20,000, at the time it is credited (even to the capital account) or paid. We check it was deducted and reported.
Losses kept for later years
A business loss can be carried forward and set off against later profits only when the return is filed by the due date.

Questions
Frequently asked
Something else on your mind? Call the office - it is always the same number.
Does a firm or LLP with no income need to file a return?
Yes. Every partnership firm and LLP must file a return for each financial year, even with a loss or no business at all. A loss is carried forward only when the return is filed by the due date.
Which form does a firm or LLP use?
ITR-5. A resident partnership firm (not an LLP) with total income up to ₹50 lakh that declares presumptive income under section 44AD, 44ADA or 44AE may choose ITR-4 instead. An LLP cannot use the presumptive schemes for business or profession, so it files ITR-5.
When does a firm or LLP need a tax audit?
When business turnover is above ₹1 crore, or above ₹10 crore if cash receipts and cash payments are each no more than 5% of the total; for a profession, when gross receipts are above ₹50 lakh. The tax audit report is signed by a practising Chartered Accountant and filed one month before the return due date: normally by 30 September, and by 21 October 2026 for FY 2025-26.
How much can a firm pay its partners?
Interest on partners' capital is allowed up to 12% simple interest a year. Remuneration to working partners is allowed up to: on the first ₹6 lakh of book profit (or a loss), ₹3 lakh or 90% of book profit, whichever is higher; on the rest, 60% of book profit. Both must be authorised by the deed.
What if the due date is missed?
A belated return can still be filed until 31 December after the year ends (31 December 2026 for FY 2025-26). The late fee under section 234F is ₹5,000 (₹1,000 if total income is up to ₹5 lakh), interest runs on any unpaid tax, and a business loss in a belated return cannot be carried forward. After that, an updated return (ITR-U) can be filed within 48 months from the end of the assessment year, with additional tax. A return already filed for FY 2025-26 can be revised until 31 March 2027.
Does the LLP's ROC filing replace the income tax return?
No. Form 8 and Form 11 are filed with the Registrar of Companies (MCA); the income tax return is filed separately with the Income Tax Department. The figures in both should match.
What changes from April 2026?
The Income-tax Act, 2025 applies from tax year 2026-27 (1 April 2026 to 31 March 2027). Returns for FY 2025-26 are still filed under the Income-tax Act, 1961, so this page uses its section numbers. Returns for tax year 2026-27 will be filed in 2027 under section 263 of the new Act, in new forms to be notified under the Income-tax Rules, 2026.
