More about LLP Annual Filing
Consequences of Late Filing
Every LLP must file Form 8 and Form 11 each year, even with no business. Filing either form late costs an additional fee of up to 15 times (small LLPs) or 30 times (other LLPs) the normal filing fee in the first year, and more after that.
Additionally, defaulting partners may be disqualified from acting as Designated Partners.
Audit Exemption Benefit
LLPs enjoy a major exemption: Statutory Audit is only mandatory if:
Turnover exceeds ₹40 Lakhs, OR
Contribution exceeds ₹25 Lakhs.
Otherwise, filing is based on self-certified financials.

When is a statutory audit mandatory for an LLP?
An audit is mandatory only if the LLP's annual turnover exceeds ₹40 Lakhs OR its capital contribution exceeds ₹25 Lakhs. Otherwise, no external audit is required.
What is the penalty for late filing?
Since 1 April 2022 the late fee is a multiple of the normal filing fee that grows with the delay: 1 time up to 15 days, rising to 15 times (small LLPs) or 30 times (other LLPs) by one year, and more after that. File by the due date to avoid it.
Do I need a DSC for LLP filing?
Yes. All MCA forms, including Form 8 and Form 11, must be digitally signed by the Designated Partners and, where applicable, by a practicing Chartered Accountant or Company Secretary.
