Good to know

More about Appointment of Director

Consequences of Late Filing

The Board must file Form DIR-12 with the ROC within 30 days of passing the resolution. Missing this deadline attracts additional fees.

The additional fee is 2 times the normal fee for up to 30 days of delay, rising step by step to 12 times beyond 180 days. A delay not only costs money but also delays your company's ability to file other forms and can lead to the new Director's status being marked as non-compliant.

Key Pre-Conditions

Valid DIN
The proposed Director must hold a valid (Active) Director Identification Number (DIN).
Consent
Must submit Form DIR-2 (Consent to Act as Director) and Form DIR-8 (Non-Disqualification).
Board Approval
The appointment must be approved by the Board of Directors via a formal Board Resolution.
